Terms of Service

Please read these Terms of Service carefully before using the LEADS platform. By creating an account or using any part of the service, you agree to be bound by these Terms. If you do not agree, do not use LEADS. The platform is operated by COSMIQ.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Advertiser", "you") and COSMIQ ("we", "us", "our") governing your use of the LEADS platform and associated services ("Service"). You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or any organisation you represent.

2. The Service

LEADS is a self-serve Digital Out-Of-Home (DOOH) advertising platform that enables advertisers to create, manage, and run ad campaigns on digital screens at various locations. The Service includes:

  • Campaign creation and management tools
  • Wallet-based billing with prepaid credit
  • Screen selection and scheduling
  • Real-time campaign analytics and reporting
  • Creative asset upload and management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make reasonable efforts to maintain service continuity for active paid campaigns.

3. Accounts

Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Account Security

Notify us immediately if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account where you have failed to keep your credentials secure.

One Account Per Person

Each individual or business entity may maintain one advertiser account. Creating multiple accounts to circumvent restrictions, holds, or content policies is prohibited and will result in all associated accounts being suspended.

4. Billing & Wallet

Prepaid Wallet

LEADS operates on a prepaid wallet model. You must add funds to your wallet before running campaigns. Funds are deducted as your campaigns deliver.

Holds

When a campaign is approved, the maximum estimated cost is placed on hold — reducing your Available balance. As actual delivery occurs, charges are deducted from the hold. Unused hold amounts are released when a campaign pauses, stops, or completes.

Charges

Rotation campaigns are charged per play delivered. Reservation campaigns are charged per day of scheduled delivery. Exact rates are displayed and agreed to in the campaign builder before submission. We do not charge you more than the quoted amount per campaign.

Wallet Top-Ups

Top-ups are processed immediately and credited to your wallet balance. Top-up amounts are generally non-refundable, subject to the exceptions noted below. All payments are processed by a third-party PCI-compliant payment processor.

Refunds

We do not issue refunds for wallet balances that have already been used to run campaigns. If a campaign is cancelled by us before going live (e.g. rejected during review), any associated hold is released immediately. If you believe you have been incorrectly charged, contact us within 30 days of the charge.

Taxes

You are responsible for any applicable taxes on advertising purchases. Pricing displayed on the platform does not include applicable taxes unless stated otherwise.

5. Campaigns & Content

Content Standards

All creative assets submitted through LEADS must comply with our Content Policy. By submitting a campaign, you confirm that your content:

  • Is accurate and not misleading
  • Does not infringe any third-party intellectual property rights
  • Does not contain adult, explicit, violent, or harmful material
  • Does not promote illegal products, services, or activities
  • Does not contain political campaign advertising or advocacy
  • Complies with all applicable laws and regulations in the jurisdictions where it will display

Review Process

All campaigns are reviewed by our team before going live. We reserve the right to reject any campaign that does not meet our content standards. Rejected campaigns will be returned with a reason, and your held funds will be released. We aim to review campaigns within a few hours during business hours but do not guarantee specific review times.

Your Responsibility

You are solely responsible for the content of your campaigns, including obtaining any necessary licenses, permissions, or clearances for music, imagery, trademarks, or other third-party materials included in your creative. You indemnify COSMIQ against any claims arising from your content.

Analytics

Play counts and delivery data in your dashboard are based on events reported by screen hardware. While we make every effort to ensure accuracy, minor discrepancies may occur. Reported data is not guaranteed to be error-free.

6. Prohibited Use

You may not use LEADS to:

  • Violate any applicable law or regulation
  • Impersonate another person, business, or entity
  • Attempt to gain unauthorised access to the platform, other accounts, or screen infrastructure
  • Interfere with or disrupt the operation of the Service or connected screens
  • Use automated tools to scrape, crawl, or abuse the platform's APIs
  • Resell or sublicense access to the platform without written consent
  • Engage in any activity that could damage the reputation of COSMIQ, LEADS, or the screen network

7. Intellectual Property

Your Content

You retain ownership of all creative assets you upload. By submitting a campaign, you grant COSMIQ a limited, non-exclusive licence to display your content on the screens you've selected for the duration and purpose of your campaign.

Our Platform

All software, design, text, and other content comprising the LEADS platform is owned by COSMIQ or its licensors. You may not copy, reverse-engineer, reproduce, or create derivative works from any part of the platform without written permission.

8. Liability & Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We do not guarantee uninterrupted or error-free operation of the Service
  • We are not liable for loss of business, revenue, or profits arising from campaign underperformance, screen downtime, or service interruptions
  • Our total liability to you for any claim shall not exceed the total amount you paid to us in the 30 days preceding the claim

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Termination

You may terminate your account at any time through the Settings page, subject to stopping all active campaigns and having zero outstanding holds on your balance.

We may suspend or terminate your account immediately if:

  • You breach these Terms
  • We reasonably suspect fraudulent activity
  • Required by law or regulation

On termination, access to your account and campaigns will cease. Outstanding charges will be finalised. Wallet balances at the time of termination are subject to our refund policy in section 4.

10. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of LEADS shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where COSMIQ is registered. We will always try to resolve disputes informally first — please contact us before initiating any legal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the revised Terms, you should stop using the Service and may close your account.
